Minipouches.com designs, calibrates, and supplies high-speed vertical form-fill-seal (VFFS) machinery, pneumatic volumetric dosing units, micro-precision weighing cells, and continuous-motion sealing jaws for bulk industrial materials. Our services include on-site installation support, calibration, and technical documentation for the equipment listed in the applicable purchase agreement.

Any additional services such as custom software integration, extended warranty, or remote diagnostics must be specified in a separate written addendum signed by both parties.

You agree to operate the equipment only within the rated specifications provided in the user manual and technical datasheets. You are responsible for ensuring that the electrical supply, compressed air quality, and ambient conditions at your facility meet the minimum requirements stated in the installation guide.

• Maintain a log of all maintenance and calibration activities.
• Use only genuine replacement parts approved by Minipouches.com.
• Do not modify the control software or mechanical assemblies without written consent.

Failure to comply with these responsibilities voids all warranties and shifts liability for any resulting damage or injury to the user.

All designs, firmware, software, drawings, and technical documentation provided by Minipouches.com remain our exclusive intellectual property. You receive a non-exclusive, non-transferable license to use the software solely for operating the delivered equipment.

Reverse engineering, decompiling, or copying of any proprietary component is strictly prohibited. Any unauthorized use may result in termination of this agreement and legal action.

Minipouches.com's total liability arising from any claim related to the equipment or services shall not exceed the purchase price paid for the specific product giving rise to the claim. We are not liable for consequential damages including but not limited to lost production, lost profits, downtime, or damage to other equipment.

This limitation applies regardless of the legal theory (contract, tort, strict liability) and survives any fundamental breach or failure of essential purpose.

Exceptions

Nothing in this section excludes or limits liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under applicable law.

New equipment carries a 12-month warranty from the date of commissioning, covering defects in materials and workmanship under normal use. The warranty does not cover consumable parts (sealing jaws, metering cups, seals), damage from improper installation, unauthorized modifications, or force majeure events.

To make a warranty claim, contact us at info@minipouches.com within 30 days of discovering the defect. We will repair or replace the defective component at our discretion. Shipping costs for warranty returns are borne by the buyer unless otherwise agreed in writing.

Either party may terminate this agreement with 30 days written notice if the other party materially breaches any term and fails to cure the breach within 15 days of receiving written notice. Upon termination, you must return all proprietary documentation and cease using the equipment if the license is revoked.

Sections 3 (Intellectual Property), 4 (Limitation of Liability), and 7 (Governing Law) survive termination.

This agreement is governed by the laws of India. Any dispute arising out of or relating to this agreement shall first be submitted to mediation at a mutually agreed location in New Delhi. If mediation fails, the dispute shall be resolved by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996.

The arbitration shall be conducted by a single arbitrator appointed by mutual agreement, and the language of proceedings shall be English. Each party bears its own legal costs unless the arbitrator decides otherwise.

We may update these terms from time to time to reflect changes in our services, legal requirements, or operational practices. Material changes will be communicated via email to the address on file at least 30 days before they take effect.

Your continued use of the equipment or services after the effective date constitutes acceptance of the revised terms. If you do not agree, you may terminate the agreement as per Section 6.
